Corporate & Securities Counsel (Public Company Advisors Team) - Preference for NYC / DC locations

Womble Bond Dickinson (US) LLP is seeking an experienced Counsel or Senior Counsel to join its Corporate & Securities Practice Group. This position is part of Womble Bond Dickinson's firmwide Public Company Advisors Team, and the lawyer will work in a collaborative environment as part of a dynamic multi-office team representing the firm's public company and other clients. The successful candidate will represent large Nasdaq and NYSE-listed public company clients across a variety of industries, gaining meaningful exposure to complex securities, corporate governance, capital markets, and regulatory matters.

This is an off-track position designed for an attorney who enjoys sophisticated public company client work but is not seeking a traditional partnership-track role. The position features a reduced billable-hour requirement and does not carry expectations for business development, client origination, or firm management responsibilities, allowing the attorney to focus primarily on providing high-quality legal counsel and client service and demonstrating thought leadership in a fast-paced and dynamic practice area.

We are particularly interested in candidates located in New York, Boston, and the Washington, DC metropolitan area; however, this position may be based in any of our offices in North Carolina, South Carolina, Houston, Nashville, Atlanta, or Baltimore.

Qualifications:

• Candidates should have 8+ years of corporate & securities experience, preferably gained at a large regional or national law firm, in-house legal department, the U.S. Securities and Exchange Commission (SEC), or a combination thereof. Prior SEC experience is considered a significant plus.
• Candidates must have substantial experience advising public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters, including:
• Securities offerings and capital markets transactions;
• Periodic reporting on Forms 10-K, 10-Q, and 8-K;
• Proxy statements and annual shareholder meeting matters;
• Section 16 reporting and beneficial ownership compliance;
• Corporate governance and board advisory matters.
• Candidates will have the opportunity to represent large Nasdaq and NYSE-listed public company clients across a broad range of securities law, disclosure, governance, and transactional matters.
• Candidates must possess excellent academic credentials, strong analytical abilities, and outstanding written and oral communication skills.
• Candidates must be licensed to practice law in the jurisdiction in which they are located or be eligible to become licensed as soon as possible.

Compensation/Other:

• The estimated salary range for this role in New York is $235,000-$290,000 a year.
