Location: Position can be performed from any U.S. company office.

Position Description: Provide
day-to-day counsel, guidance and operational support related to commercial contracts,
supply chain operations, contract administration, and other legal matters for
assigned SourceBlue.

Essential Duties & Key Responsibilities:

  • Provide legal advice and risk assessments across a broad range of legal matters related to commercial contracting, procurement operations, supplier performance, and dispute resolution.
  • Advise business partners on legal, contractual and risk matters impacting supplier relationships, procurement strategy, and performance disputes.
  • Analyze and summarize legal documents and complex business transactions and contracts, including commercial agreements supplier contracts, performance documentation, and related transactional materials.
  • Anticipate and mitigate potential legal and operational risks involving supplier relationships, procurement programs, and commercial transactions.
  • Conduct and compile research, maintain/update organized legal due diligence documents.
  • Review upstream and downstream commercial agreements and support SourceBlue leaders in structuring and negotiating supply and procurement arrangements.
  • Review and negotiate routine commercial agreements, including supplier agreements, logistics arrangements, confidentiality agreements, and related transactional documents.
  • Analyze contract amendments, pricing adjustments, claims submissions, and waivers/releases for legal risk and strategic positioning.
  • Lead and partner with outside counsel in the management and resolution of contested matters.
  • Manage litigation and corporate disclosures for RFQ/RFP responses.
  • Coordinate with corporate leadership regarding authorizing resolutions and documentation required for commercial transactions.
  • Maintain and utilize best practices with respect to commercial contracting, supplier risk allocation and dispute mitigation.
  • Deliver legal training to SourceBlue teams on a variety of legal topics, including commercial contracting, documentation practices, dispute avoidance, and ethics/compliance.
  • Develop and provide input to capture supplier performance trends and continuously improve contracting and risk management processes.
  • Other activities, duties, and responsibilities as assigned.

  • Qualifications: JD degree with a valid law license. Minimum of 5 years' experience with an emphasis on commercial transactions, construction-related
    supply chain matters, procurement, claims management, or related practice, or an equivalent combination of education, training and/or experience. Experience managing commercial disputes, supplier
    claims, and contract administration matters preferred. Exercises independent judgment and
    discretion with ability to identify problems and initiate corrective action.
    Self-starter, with ability to prioritize multiple tasks and deliver high
    quality work on tight deadlines. Maintain knowledge of industry best practices
    and applicable legislation affecting the operations. Adaptable and flexible to
    operate with minimal direction and little or no supervision while working in complex and changing environment. Proven written and verbal communication abilities with emphasis on problem solving and negotiation, with ability
    to explain complex legal concepts to employees and staff at all levels.
    Proficiency with computer applications, including Microsoft Office suite, and various legal case management systems. Ability to read,
    understand, and interpret contracts and insurance documents. Demonstrated interpersonal skills and ability to work with staff at all levels,
    both internal and external. Ability to travel.
