The Sr Corporate Development & Strategic Investment Director will be responsible for evaluation and execution of the company's activities related to mergers, acquisitions, minority investments, joint ventures, divestitures, partnerships, and other similar opportunities that are aligned with the overall strategic objectives of the company. Will support M&A transactions through all phases of the deal lifecycle from evaluation to execution while developing and maintaining a strong knowledge of the healthcare landscape. Engages in extensive interaction with a wide range of external business executives, capital markets partners, and thought leaders through a thoughtful and disciplined approach with Enterprise and Business Unit leaders and strategy team in analysis and collaboration to execute on priority strategic initiatives to meet investment objectives.

Key Responsibilities:
* Conduct rigorous analysis to provide deep insight and judgment which will inform and influence decisions around potential acquisitions, investments, and divestitures
* Articulate clear rationale and risks associated with proposed transactions through presentation materials to provide recommendations to the executive team and the board of directors
* Works extensively with internal team, business unit leadership, investment bankers and focused consulting advisors to cultivate and build trust-based relationships
* Develops and evaluates new business models and concepts within targeted strategic areas of focus, as appropriate, including the formation of alliances, joint ventures and partnerships that enhance and leverage Enterprise assets and capabilities
* Draft indications of interest, term sheets, board proposals/approvals and other related documents
* Perform deal analysis using advanced Excel modeling for financial projections and valuation analysis
* Serves as a "Deal Lead" to assemble and lead CDSI and cross-functional business teams responsible for all activities associated with a strategic investment or development and formation of business initiatives utilizing a phased process; ensures the appropriate resources are organized and aligned to support the project through NDA, preliminary diligence, IOI/LOI, term development, definitive agreement, confirmatory diligence, closing and transition to the Integration Management Office (IMO)
* Supports construction and management of process through Steering Committee or similar governance body as appropriate and presents summaries and recommendations to executive leadership to gain alignment and support
* Lead transaction diligence efforts, coordinating with internal business and functional leaders as well as external consultants and advisors
* Collaborate with internal and external subject matter experts to analyze diligence findings and adjust financial models accordingly
* Business decision points in negotiations
* Develops and maintains close working relationships with key healthcare investment bankers, advisors and consultants
* Maintain exceptional expertise in valuation, financial modeling and business case support for deal thesis and criteria, as well as risk-based decision-making
* Continually update the company's deal management process, including continuous improvement initiatives regarding M&A tools and playbooks used to execute above mentioned activities by incorporating prior experiences and industry best practices across all key work streams

Key Requirements:
* 7+ years' related work experience. Experience Details: Professional experience in investment banking, M&A, business development, strategy consulting, leading and managing opportunity pipelining, financial and operational analysis, due diligence, and execution of acquisitions, mergers and joint ventures, program and business development or project management initiatives
* Working knowledge of health and financial industries
* Related Bachelor's degree required, preferably in Business or Finance
* Expertise in business planning, strategic planning, leading business initiatives, and managing a portfolio of business investments
* Demonstrated ability to understand, communicate and present financial statements/financial information in a concise and understandable manner to all levels of the organization
* SME in more than one of the following business disciplines: strategy development, mergers/acquisitions, accounting/finance, business modeling, marketing, organization effectiveness
* Experience with direct contact and interaction with senior leadership and business Board of Directors

Preferred:
* Master's degree
* Experience in health care industry, especially practical payor, provider or start up operationalization, investment banking and/or M&A consulting
* Strong financial modeling and valuation skills, including a comprehensive understanding of financial statements, general accounting concepts, and ability to develop three statement financial models
* Ability to interpret legal documentation, including an understanding of risk allocation in purchase agreements
* Proficiency with Microsoft Office suite of products, especially Excel, PowerPoint and Word
* Ability to work autonomously and lead multiple deals and deal teams simultaneously with minimal supervision
* Spanish language fluency

General Physical Demands
Sedentary work: Exerting up to 10 pounds of force occasionally to move objects. Jobs are sedentary if traversing activities are required only occasionally.

Annualized Salary Range: $148,000 - $240,500

Typical Annualized Hiring Range: $148,000 - $185,000

Final pay will be determined with consideration of market competitiveness, internal equity, and the job-related knowledge, skills, training, and experience you bring.
