Senior Counsel
The Senior Counsel will support one or more lines of business or division of the bank, including, but not limited to, the bank's products and services for wealth and asset management, personal and institutional trust, deposits, and payments, and related legal operations. Complete all legal work and projects within defined plans, budgets and schedules; the financial impact varies based on the business line or division supported. Minimize use of outside counsel to reduce overall legal expenses. Supervise outside counsel and may supervise other attorneys, legal staff, and legal assistances. This position requires the highest level of legal analysis, integrity, trust, and judgment. The successful attorney must have excellent oral and written communication skills, superb people skills, the ability to learn new areas of law quickly, business acumen, political savvy, an ability to anticipate and meet the needs of client groups with a level of flexibility.
Position Responsibilities:


  • Analyze complex legal issues and implications related to the bank's current products and services and strategic plans and investments. Review relevant laws, rules, regulations, cases, contracts, and other legal resources to advise on matters of significance to the bank.
  • Prepare legal memorandum or other documentation in support of complex matters, including, but not limited to, regulatory responses; policies, procedures, and guidelines; customer facing documents; and executive materials. May also direct the activities of other attorneys, staff, or support teams.
  • Advises senior bank officers of the legal implications of a proposed policy, course of action, strategy, or management decision.
  • Collaborates with legal colleagues to reviewing legal issues in complex cases, transactions, or regulatory reviews to comprehensively address legal risk.
  • Supervise outside counsel, including managing outside counsel spend, work product delivery, and adherence to bank's guidelines.
  • Act as a mentor on legal matters, transactions, or other projects.

Position Qualifications:


  • J.D. from an ABA accredited law school
  • Active member in good standing with the State Bar of Texas or, if licensed in another state, able to qualify for admission in Texas within 180 days
  • 5 years of overall work experience
  • 4 years of experience practicing law
  • Ability to work under pressure and meet close deadlines
  • Ability to analyze, organize and prioritize work while meeting multiple deadlines
  • Ability to analyze and prepare documents, reports, and correspondence
  • Ability to process and handle confidential information with discretion
  • Ability to communicate effectively in both oral and written form!
  • Ability to handle difficult and stressful situations with professional composure
  • Ability to work collaboratively and building strategic relations with colleagues, coworkers, constituents and volunteers
  • Ability to work effectively within a complex organization structure
  • Knowledge of federal, state and local laws, statutes, regulations, codes, and standards related to the area of responsibility
  • Ability to interpret and apply laws and regulations
  • Ability to negotiate features of a contract
  • Ability to prepare legal documents, conduct legal research, interpret and apply laws, and summarize findings
  • Knowledge of budget control methods, policies, and procedures
  • Intermediate knowledge of Microsoft Word, Excel, PowerPoint, Access, and Outlook (e.g. create templates, complete mail merges, insert and edit charts, create basic formulas, create queries)
  • Ability to combine pieces of information to form general rules or conclusions (includes finding a relationship among seemingly unrelated events)
  • Ability to evaluate documents for accuracy and compliance
  • Ability to recognize, analyze, and solve a variety of problems Knowledge of program planning and implementation Knowledge of business and management principles involved in strategic planning, resource allocation, human resources modeling, leadership technique, production methods, and coordination of people and resources
  • Ability to plan, assign, and/or supervise the work of others
  • Must have the highest level of legal analysis, integrity, trust and judgment.
  • Must demonstrate business acumen for assigned area of responsibility
  • Must be able to navigate sensitive situations and have political savvy
  • Demonstrated ability to service their client groups

Work Best Category: Category C - Days in the office will either be designated days or will vary week to week from 2-5 days Hours: 8:00am - 5:00pm Monday - Friday, this position includes both onsite and remote work Salary: To Be Determined Based on Individual Experience
