Overview
ViaPath is seeking an experienced, proactive, and solutions-focused Manager, Legal Operations to assist in driving operational change and modernization through the design and implementation of processes and systems aimed at promoting the day-to-day efficiency and effectiveness of the Legal team. This role will report directly to the General Counsel and will be responsible for maintaining minute books, supporting transactions and filings, including with the SEC and other regulatory agencies, subsidiary management, responding to subpoenas, record and FOIA requests, litigation management and support, and law firm invoice management, together with developing, implementing, and managing an array of programs to assist the in-house legal team (four attorneys and two paralegals) in maximizing the value of the legal services provided to the company internally and procured externally. The ideal candidate has a passion for creating effective and scalable processes, driving technology adoption, spearheading change management initiatives, developing key metrics to drive cost-saving solutions, and nurturing and managing relationships, is extremely organized and is always looking for opportunities for continuous improvement. Hybrid opportunity. Position will be based in the Falls Church, VA, headquarters office 4 days per week.
Responsibilities
Corporate Governance and Public Reporting * Maintain corporate minute books for all ViaPath subsidiaries and other records as directed. * Coordinate audit cycles, compliance mechanisms and annual board and shareholder meetings for ViaPath subsidiaries, working cross-functionally with internal treasury, accounting, tax and other departments, as needed. * Develop and manage corporate governance policies and processes in support of the legal and regulatory function. * Support the legislative and government affairs functions related to tracking/reporting on industry impacting legislation. * Assist in quarterly and annual federal and state regulatory filings for ViaPath and all subsidiaries. * Lead annual corporate filing requirements to maintain good standing for all ViaPath subsidiaries. * Draft board resolutions and documentation for corporate, SEC and other filings, under the supervision of attorneys. * Support due diligence process and major corporate and finance transactions by managing online data site, coordinating due diligence compliance company-wide and assisting in closing of corporate and finance transactions, among other things. * Prepare KYC documents, bank certificates, secretary certificates and other similar documentation. * Work closely with attorneys to manage documentation, process and oversight related to Section 16 filings for directors and executive officers. * Interface directly and routinely with the company Chief Regulatory Officer and outside counsel on various matters. Litigation and Investigations Support * Assist in matter management in support of ViaPath litigation portfolio and other assigned litigation and investigations matters, including opening matters, negotiating rates and alternative fee arrangements, drafting and overseeing legal holds and data preservation, managing discovery, and coordinating with in-house attorneys and outside counsel on case strategy. Review and approve invoices for litigation portfolio. * Coordinate with attorneys, Human Resources, brokers and insurers to ensure regular reporting and prompt payment and/or recovery of legal fees and costs. * Track and report regularly on status of assigned litigation and investigations. * Collaborate with attorneys and other functional stakeholders throughout the enterprise to develop responses to subpoenas, pre-litigation demands, government or other third-party inquiries, etc. * Conduct fact-finding, gather relevant records, and assist with preparation of discovery requests and responses in coordination with in-house attorneys and outside counsel. * Identify opportunities to develop standard work, guidelines, playbooks, and training to improve efficiency of litigation and investigations management. * Work across departments and legal functions to support audits and special projects. Legal Billing and Matter Management * Oversight of Legal Billing and Matter Management Tool, maintain rate cards, timekeeper assignments, matter files, etc. Coordinate onboarding of new firms and vendors. * Provide day-to-day oversight and management of external legal spend, with a focus on developing and managing key metrics to predict and track outside counsel and vendor spend, adherence to budgets, timely accruals, and other performance targets. Assist in identifying opportunities for cost savings and regular reporting to senior leadership. * Maintain and update templates for Engagement Letters and manage process for new matter creation, periodic review and other matter maintenance activities. * Develop, refine, and maintain standard work and guidance to aid ViaPath attorneys in active matter management and outside counsel oversight.
Qualifications
Bachelor's degree with at least 6 years prior experience in Legal. In lieu of degree, minimum of 10 years of prior relevant experience.
- Paralegal certification required.
- Experience in a corporate legal department developing strategies and managing major initiatives and operational processes focusing on driving efficiency and operational rigor is required. Experience at a public company preferred.
- Deep understanding and experience with a variety of technical systems and workflow automation tools utilized by in-house law departments.
- Demonstrated experience with strategic planning, outside counsel management, data analytics, and systems implementation and management.
- Track record of applying methods for process improvement in a legal environment.
- Ability to analyze operational issues, diagnose problem areas, and provide change leadership.
- Ability to meet competing deadlines.
- Strong written and verbal communication skills.
