Associate Counsel

Triumvirate Environmental, one of the largest environmental services firms in North America, is seeking an Associate Counselfor our Legalteam.

This individual will be responsible for leading the negotiation and management of vendor contracts, ensuring legal compliance, mitigating risks, and driving collaboration with cross-functional teams to meet the company's objectives. They will also focus on improving processes, supporting business teams with legal guidance, and refining best practices to ensure efficient and effective contract management throughout the lifecycle of vendor relationships.

This position reports to our Director of Legal. This role is hybrid and is based in Somerville, MA.

Responsibilities:



  • Draft, review, and negotiate a wide variety of vendor contracts, including service agreements, software licensing agreements, consulting agreements, and non-disclosure agreements.
  • Ensure contracts align with company policies, mitigate risks, and protect the organization's interests.
  • Maintain and update the contract management system to track contract status, key dates, and compliance requirements.
  • Provide guidance to internal stakeholders regarding contract obligations and implementation.
  • Ensure all vendor contracts comply with applicable laws and regulations.
  • Identify and address potential legal risks associated with vendor relationships.
  • Collaborate with cross-functional teams, including procurement, IT, finance, and operations, to understand business needs and ensure contracts meet organizational objectives.
  • Provide legal advice and recommendations to internal stakeholders regarding vendor relationships.
  • Assist in developing and refining templates, playbooks, and standard operating procedures for vendor contracts.
  • Stay current on legal trends and industry best practices to improve contracting processes and efficiency.
  • Provide training and support to business teams on contracting best practices and compliance requirements.


Basic Requirements:



  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing in at least one U.S. jurisdiction.
  • 5+ years of legal experience, with a focus on contracts, procurement, or vendor management.
  • Strong knowledge of contract law, commercial terms, and risk management principles.
  • Excellent drafting and negotiation skills with attention to detail.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Strong interpersonal and communication skills, with the ability to collaborate effectively with diverse teams.
  • Experience with contract lifecycle management (CLM) tools is a plus.
  • Must be eligible to work in the United States without future sponsorship
  • Must have a reliable form of transportation


Preferred Requirements:



  • Prior in-house legal experience, particularly in a corporate legal department.
  • Familiarity with data privacy, cybersecurity, and intellectual property issues as they pertain to vendor contracts.
