We are looking for an experienced Legal Counsel to join our Austin Team (hybrid work schedule)

The Legal Counsel supports the Legal and Compliance Department with drafting and providing comprehensive legal counsel in assigned areas of responsibility. Legal Counsel will be expected to take primary responsibility for the company's day-today commercial & contracting needs as well as expand the scope of their existing legal expertise by working on a variety of legal issues as described more fully bellow.

• Provide counsel to key stakeholders regarding interpretation and applications of laws & regulations
• Work cross-functionally with shared services teams to advise on legal issues & collaborate to offer creative solutions to achieve the department's goals
• Provide strategic guidance to the company on HCP engagement and contracting practices. Educate and counsel Marketing, Professional Clinical Services, Business Development and Clinical Research teams on legal issues relevant to their departments
• Determine whether desired business activities, practices and agreements comply with the applicable laws and regulations, including healthcare laws such as the Anti-Kickback Statute, False Claims Act and HIPAA
• Consulting with management, commercial advisors, and other business team members to provide counsel on legal matters affecting the company
• Negotiating and drafting commercial agreements, and advising on legal risks of same
• Maintain company minute books for all North American entities
• Manage outside litigation counsel for lawsuits brought against the company in North America
• Design & implement new policies and subsequent e-trainings for areas of legal and compliance relevant to the company
• Participate and provide legal advice or deliverables on transformative company projects in collaboration with cross-functional teams
• Stay up to date on proposed and existing legislation, reviewing business practices and policies , and advising the company of necessary changes and/or potential risks

• Experience working in-house in the Life Sciences industry
• Proven experience as counsel in a business environment or relevant law firm experience
• Excellent knowledge and understanding of corporate and commercial law with strong negotiating skills
• Demonstrated ability to evaluate legal risk and create proactive legal strategies
• Excellent collaboration and interpersonal skills, with the ability to evaluate and dispense practical legal advice to business units
• Ability to prioritize effectively and work independently with little or no supervision

Minimum Qualifications:

• Juris Doctorate
• License to practice law and in good standing; State of Texas preferred
• 5-8 years of experience practicing law in a law firm or in-house role

Salary Range: (min) $140,000 - (max) Open

The salary range for this position will be determined based on the diverse skills, experience, and expertise of the candidate. The minimum base salary threshold is estimated to be $140,000 based on meeting the minimum requested qualifications. If candidates have additional skill and experience, an elevated base pay for qualified candidates will be offered. Additional compensation elements, such as annual bonus and benefits are also included in the overall compensation package.
