Work Location: Main Office (Indiana, Pa) or North Shore Office (Pittsburgh, Pa) Main Office: 800 Philadelphia Street Indiana, Pa 15701 North Shore Office: 358 North Shore Drive Work Hours: Monday - Friday 8:00am - 5:00pm (Additional hours as needed to fulfill the needs of the department) Function: Provides guidance and support on legal matters related to financial documents, transactions, policies, and procedures at the direction of the Bank's General Counsel to employees, shareholders, and customers. Duties and Responsibilities: Physical Demands Education: Juris Doctorate or Master of Laws degree from an ABA accredited law school with 8+ years of experience with either a U.S. law firm and/or in-house legal department with a focus on banking transactions and related matters. Active member in good standing with the state bar association of a footprint state of the Bank (i.e., Pennsylvania, Ohio, New York) or, if licensed in another state, able to qualify for admission in a footprint state of the Bank within 180 days of employment. Experience: Five to ten years' experience in the legal field with a five to ten years specialization of financial services experience preferred. Incumbent should have a strong background in secured transactions and experience and a desire to work in one or more of the following areas: bank regulatory matters at the federal and state level, bank charters, change in control, acquisition activities, community reinvestment activities, bank service agreements, single bank and syndicated secured and unsecured loan facilities (including, revolving credit and term credit facilities), letters of credit, interest rate hedging agreements, intercreditor arrangements, commercial and consumer loan agreements, mortgages and related documents, subordinated debt financings, equipment lease financing, and securitizations.
